If you do not agree, do not use the Services.

2. Eligibility

We may approve, decline, waitlist, or remove any applicant or member in accordance with these Terms.

2.3 You represent that you have not been previously removed from the Services, that you are not prohibited by law from using them, and that all registration information you provide is accurate and kept current.

3. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you in the App or by email and update the "Last Updated" date. Your continued use after the effective date of the changes means you accept them. If you do not agree to the updated Terms, you must stop using the Services and may delete your account.

4. Your Account

4.1 You are responsible for keeping your login credentials confidential and for all activity under your account. Do not share your account or let others use it.

4.2 Notify us promptly at support@socalsisterhood.com if you believe your account has been accessed without permission.

4.3 You may not create an account using false information, impersonate another person, or create multiple accounts to evade a suspension or removal.

5. License to Use the Services and Restrictions

5.1 License. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your own non-commercial use.

5.2 Restrictions. You may not, and may not permit anyone else to: - copy, modify, distribute, sell, lease, or create derivative works from the Services; - reverse engineer, decompile, or attempt to extract the source code of the Services, except where law prohibits this restriction; - bypass or interfere with security features, rate limits, or access controls; - access the Services using bots, scrapers, or automated means, or harvest member information; - use the Services to build a competing product or for commercial purposes without our written consent; or - introduce malware or otherwise disrupt the Services.

6. Community Guidelines and Prohibited Conduct

The Services exist to help members connect safely. You agree not to:

  • harass, stalk, threaten, intimidate, bully, or abuse any person;
  • post content that is hateful, discriminatory, sexually explicit, violent, or unlawful;
  • share another person's private information (including real-time location, address, phone number, or photos) without their consent;
  • use the Services to solicit money, sell products or services, recruit, spam, or promote unrelated businesses without our written permission;
  • impersonate any person or misrepresent your identity, affiliation, or membership;
  • record, screenshot, or share private conversations or member-only content outside the Services without consent of the people involved;
  • post content that infringes anyone's intellectual property or privacy rights;
  • encourage or assist others in violating these Terms; or
  • violate any applicable law.

7. Member Safety, Events, and In-Person Meetups

7.1 Your decision to meet. The Services may help members organize or attend gatherings and events. We do not control, host (unless we expressly say so), supervise, or insure member-organized events, and we do not guarantee any member's conduct, identity, or intentions.

7.2 No screening guarantee. We do not conduct criminal background checks or identity verification on members. You are responsible for your own safety and judgment when interacting with others, online or in person. We encourage you to meet in public places, tell a friend where you are going, and report concerning behavior immediately.

7.3 Assumption of risk. To the fullest extent permitted by law, you assume all risks arising from your attendance at events or interactions with other members, and agree that the Company is not responsible for the acts or omissions of members or third parties.

7.4 Reporting. If you experience or witness behavior that violates these Terms or makes you feel unsafe, use the in-app report feature or contact safety@socalsisterhood.com. In an emergency, call 911.

7.5 No emergency services. The Services are not an emergency service and are not monitored in real time. In an emergency, call 911.

7.6 Alcohol. Some events may involve alcohol. Only members who are 21 or older may consume alcohol. You are responsible for drinking responsibly and for arranging safe transportation. The Company does not provide, endorse, or supervise transportation and is not responsible for the actions of any person who has consumed alcohol.

7.7 Event rules and waivers. Individual events may have additional rules, venue requirements, or waivers, which you agree to follow if you attend. Nothing in these Terms releases liability that cannot be released under California law, including for fraud, gross negligence, or willful misconduct.

8. Your Content

8.1 Ownership. You keep ownership of the content you submit through the Services, including profile information, photos, messages, posts, and comments ("User Content").

8.2 License to us. You grant the Company a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, and distribute your User Content solely as needed to operate, provide, secure, and improve the Services, and to enforce these Terms. This license ends when you delete the content or your account, except where content has been shared with others, backed up, or must be retained by law.

8.3 Your promises. You represent that you own or have all rights necessary to your User Content, that it does not violate these Terms or the law, and that it does not violate anyone's rights, including privacy, publicity, and intellectual property rights.

8.4 Other members' content. You may use other members' content only within the Services and only as permitted by these Terms. You are responsible for any content you share.

8.5 No obligation to monitor. We may, but are not required to, review, remove, restrict, or refuse any User Content at our discretion, including content we believe violates these Terms or creates risk.

8.6 We do not sell your content. We do not sell your User Content or use your private messages to train artificial intelligence models.

9. Moderation, Blocking, and Reporting

9.1 You can block and report other members using in-app tools. We review reports and may take action, including removing content, issuing warnings, suspending or terminating accounts, or contacting law enforcement where appropriate.

9.2 Our moderation decisions are made in our discretion. We do not promise to take any particular action on any report, but we take safety concerns seriously.

9.3 Intimate images and exploitation: zero tolerance. You may not post, share, or threaten to share any intimate image or video of any person without that person's consent, including images that are digitally altered or AI-generated. If you appear in such content on the Services, you (or your authorized representative) may request its removal at [in-app report link / email]. Please include your signature (electronic is fine), the location of the content, a statement that you believe in good faith it was shared without your consent, and your contact information. We will remove valid reported content within 48 hours of receiving a complete request and will make reasonable efforts to remove identical copies. We report apparent child sexual exploitation to the National Center for Missing & Exploited Children and to law enforcement, and we may permanently remove any account involved.

9.4 Appeals. If we remove content or restrict your account and you believe we made a mistake, you may appeal by emailing support@socalsisterhood.com within 30 days. We will review your appeal, and our decision is final.

10. Privacy, Notifications, and Location

10.1 Our Privacy Policy explains how we collect, use, and share personal information. Our Cookie Notice explains how we use cookies and similar technologies. By using the Services, you acknowledge those Policies.

10.2 If you enable notifications, location, camera, photo library, or contacts permissions, you consent to the related use of that data as described in the Privacy Policy. You can change permissions at any time in your device settings.

10.3 We do not use session replay or screen-recording tools to capture your activity in the Services.

10.4 Push notifications and email. If you enable push notifications, we may send you notifications about your account, events, friend requests, and member activity. You can turn them off at any time in your device settings or in the App. We may also email you about your account, safety, and legal matters. We do not send text messages.

11. Intellectual Property

11.1 The Services, including the App, software, design, text, graphics, logos, names, trademarks, and all related intellectual property rights, are owned by the Company or its licensors and are protected by law. Except for the limited license in Section 5, no rights are granted to you.

11.2 "SoCal Sisterhood," "SoCal Sisterhood," and related logos are trademarks of the Company. You may not use them without our written permission.

11.3 Copyright complaints. If you believe content on the Services infringes your copyright, send a notice to our designated agent at Skyler Verbenec, 27001 Moulton Pkwy A108, Aliso Viejo, CA 92656, support@socalsisterhood.com that includes: your signature; identification of the work and the infringing material and its location; your contact information; a statement of good-faith belief that the use is unauthorized; and a statement, under penalty of perjury, that the information is accurate and you are the owner or authorized to act. We may terminate accounts of repeat infringers.

12. Feedback

If you send us suggestions, ideas, or other feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use it for any purpose without compensation or attribution to you. We are not required to use any Feedback.

The Services may rely on or link to third-party services (for example, hosting, authentication, maps, or payment providers). We do not control and are not responsible for third-party services, and your use of them may be subject to their own terms. Interactions with other members, advertisers, or third parties are solely between you and them.

13A. Event Payments

Most activities are free. Some events require a one-time payment to cover costs such as reservations, activities, supplies, and food. Any required payment is shown on the event page before you RSVP. Payments are made directly through Zelle to Skyler Verbenec, doing business as SoCal Sisterhood's business account; the App does not collect or store bank or card information. Only follow payment instructions shown inside the App, and contact us at support@socalsisterhood.com if anyone asks you to pay another way. You may cancel your RSVP in the App at any time. Refund requests are reviewed case by case and are subject to the Company's discretion, except where the law requires otherwise.

14. Changes to or Discontinuation of the Services

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, and we are not liable to you or any third party for doing so. Features may be replaced by new versions without keeping older versions available.

15. Termination and Suspension

15.1 By you. You may stop using the Services and delete your account at any time in Settings or by emailing support@socalsisterhood.com.

15.2 By us. We may suspend or terminate your access at any time, with or without notice, if we believe you violated these Terms, created risk or harm to others, or for any other reason permitted by law.

15.3 Effect. Your right to use the Services ends immediately. We will delete or de-identify your data as described in our Privacy Policy, subject to legal retention requirements and reasonable backups. Sections that by their nature should survive termination will survive, including Sections 8.2 (as limited), 11 through 13, 16 through 19, and 21 through 23.

16. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT IS ACCURATE. WE DO NOT ENDORSE, AND DISCLAIM RESPONSIBILITY FOR, THE CONDUCT, CONTENT, OR IDENTITY OF ANY MEMBER OR THIRD PARTY. YOU USE THE SERVICES AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Limitation of Liability

17.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17.2 OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS ($100).

17.3 THE COMPANY IS NOT LIABLE FOR ANY DAMAGES ARISING FROM THE CONDUCT OF OTHER MEMBERS OR THIRD PARTIES, OR FROM IN-PERSON MEETINGS OR EVENTS, TO THE FULLEST EXTENT PERMITTED BY LAW.

17.4 NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT.

18. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, volunteers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use or misuse of the Services; (c) your violation of these Terms or applicable law; or (d) your violation of any third party's rights. We may assume exclusive control of the defense of any matter, and you agree to cooperate.

19. Accessibility

We are committed to making the Services accessible and are working toward conformance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. If you have difficulty accessing any part of the Services, please contact us at support@socalsisterhood.com and we will work with you to provide the information or functionality you need.

20. State-Specific Consumer Notices

California. Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: The provider of this Service is Skyler Verbenec, doing business as SoCal Sisterhood, 27001 Moulton Pkwy A108, Aliso Viejo, CA 92656. If you have a question or complaint regarding the Services, please contact us at support@socalsisterhood.com. California residents may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

Other states. Residents of certain states may have additional rights under local law. Nothing in these Terms limits rights that cannot be waived under the laws of your state.

21. Dispute Resolution; Binding Arbitration; Class Action and Jury Trial Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

21.1 Informal resolution first. Before starting any formal proceeding, you and the Company agree to try to resolve any dispute informally. Send a written notice describing the dispute and your requested resolution to support@socalsisterhood.com. If it is not resolved within 60 days, either party may start arbitration as described below.

21.2 Agreement to arbitrate. Except as stated in 21.6, you and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including their formation, interpretation, enforceability, or breach (each a "Dispute"), will be resolved exclusively by final and binding arbitration rather than in court. The Federal Arbitration Act governs this Section.

21.3 Rules and location. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, available at www.adr.org. The arbitration will be held by a single arbitrator, and, at your option, may be conducted by phone, video, written submissions, or in person in the county where you live or Orange, California. The arbitrator may award the same individual relief a court could, and the award may be entered in any court of competent jurisdiction. AAA's rules govern payment of filing and arbitrator fees; the Company will pay fees as required by those rules for consumer claims.

21.4 Delegation. The arbitrator, and not a court, decides disputes about the scope, interpretation, applicability, or enforceability of this Section, except that a court decides disputes about the validity of the class action waiver in 21.5.

21.5 Class action and jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND THE COMPANY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. DISPUTES MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS. If this waiver is found unenforceable as to a claim, that claim must be litigated in court and not arbitrated, and the rest of this Section remains in effect.

21.6 Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies; and (b) seek temporary or injunctive relief in court to stop infringement or misappropriation of intellectual property or violations of security. Nothing in this Section prevents you from reporting concerns to a government agency.

21.7 30-day opt-out. You may opt out of arbitration and the class action waiver by emailing support@socalsisterhood.com within 30 days of first accepting these Terms, with the subject "Arbitration Opt-Out," your name, and the email associated with your account. Opting out does not affect any other part of these Terms.

21.8 Batch arbitration. If 25 or more similar arbitration demands are filed against the Company by the same or coordinated counsel, the demands will be resolved in staged batches of up to 25 under AAA's mass-arbitration procedures.

21.9 Severability. If any part of this Section 21 is found unenforceable, except for the class action waiver as described in 21.5, the rest remains enforceable.

22. Governing Law and Venue

These Terms and any Dispute are governed by the laws of the State of California, without regard to conflict-of-law rules, and by the Federal Arbitration Act as to Section 21. For any Dispute not subject to arbitration, you and the Company consent to the exclusive jurisdiction of the state and federal courts located in Orange, California.

23. General

23.1 Entire agreement. These Terms and the Policies are the entire agreement between you and the Company about the Services and replace any prior agreements on that subject.

23.2 Severability and waiver. If a provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver.

23.3 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets, or to an affiliate.

23.4 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

23.5 Electronic communications. You consent to receive notices and communications from us electronically, including by email or in the App.

23.6 Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and the Company.

23.7 Notices to us. Send legal notices to 27001 Moulton Pkwy A108, Aliso Viejo, CA 92656 and support@socalsisterhood.com.
